Terms of Service

Agreement to Terms

You must be able to form a contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Changes

We may change the Service or these Terms at any time. If changes are material, we will provide notice (for example, by email or an in‑app message). Continued use after the effective date constitutes acceptance of the updated Terms.

Eligibility & Accounts

You must provide accurate information and keep your account secure. You are responsible for all activity under your account. Promptly notify us of any unauthorized use or security incident.

Subscriptions & Billing

Paid plans bill in advance on a recurring basis unless canceled. Fees are non‑refundable except where required by law or expressly stated. Taxes and duties are your responsibility. We may suspend or terminate access for unpaid invoices.

User Content

You retain ownership of content you upload to the Service. You grant Potatix a worldwide, non‑exclusive, royalty‑free license to host, store, transmit, display, and process your content solely to provide and improve the Service. You are responsible for content legality and rights.

Acceptable Use

Do not misuse the Service. Prohibited behavior includes: unlawful content, harassment, infringement, reverse‑engineering, interfering with security, or attempting to access without authorization. We may remove content, throttle features, or suspend accounts to protect the platform and users.

Intellectual Property

The Service, including software, design systems, and content, is owned by Potatix or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or other IP except as necessary to use the Service.

Third‑Party Services

The Service may integrate with or link to third‑party products. Their terms and privacy policies govern your use of those products. We are not responsible for third‑party services and disclaim liability arising from them.

Confidentiality & Privacy

Each party may receive confidential information from the other. You must protect such information with the same care you use for your own. Our handling of personal data is described in our Privacy Policy.

Warranties Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POTATIX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO POTATIX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You will defend, indemnify, and hold harmless Potatix and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately for any violation of these Terms or risk to the Service or users. Upon termination, your license ends and you must stop using the Service. Certain sections survive termination.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules.

Arbitration & Class Action Waiver

Any dispute will be resolved by binding arbitration administered by JAMS on an individual basis. You waive any right to participate in a class action or class‑wide arbitration. You may opt out within 30 days of first accepting these Terms by emailing arbitration-optout@potatix.com.

Miscellaneous

These Terms are the entire agreement between you and Potatix. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets. No waiver is implied by delay or omission.
